A leading AmLaw 100 firm is seeking a talented and motivated Associate Attorney to join its highly-regarded Corporate Transactions Practice Group in Philadelphia. This is an exceptional opportunity to work on complex transactional matters in a collegial, fast-paced, and entrepreneurial environment with experienced corporate lawyers and sophisticated clients.


Candidate Profile:

  • JD from a top-tier law school with a strong academic record.

  • Active Bar Admission in Pennsylvania, in good standing.

  • 0-1 years of experience and interested in corporate transactional work in M&A, securities, venture capital and emerging business.

  • Interest in debt and equity finance, venture capital financings, mergers and acquisitions, and entity formation and governance.

  • Strong drafting, negotiation, and organizational skills.
  • Proven ability to work collaboratively in a fast-paced, team-oriented environment.


Key Responsibilities:

  • Structure, negotiate, and manage corporate and commercial transactions, including mergers, acquisitions, equity investments, and financings.

  • Advise clients on corporate governance matters and entity formation.

  • Draft and review a wide range of transactional documents, including operating agreements, shareholder agreements, and financing documents.

  • Collaborate with a team of attorneys and paralegals to deliver superior client service.
  • Build and maintain strong, trusted client relationships through excellent service and attention to detail.

Compensation & Benefits:

Competitive Compensation: Includes an annual salary range of $220,000+, determined by experience and market factors, along with eligibility for discretionary bonuses.
